These Terms of Use (the "Terms") govern your access to and use of the websites, applications, APIs, and related services (collectively, the "Service") made available by Dynamic Resonance Company ("Dynamic Resonance," "we," "us," or "our"). The Service includes our venture-route generation and evaluation platform available at dynamicresonance.ai and related domains.
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
You must be at least 18 years old to use the Service. The Service is not directed to, and we do not knowingly permit use by, anyone under 18.
To use most features you must create an account. You agree to (a) provide accurate and complete information, (b) keep your credentials confidential, and (c) be responsible for all activity that occurs under your account. Notify us promptly at team@dynamicresonance.ai if you suspect any unauthorized use. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.
The Service helps founders and teams generate, evaluate, and compare candidate "venture routes" and related strategic outputs. Outputs are generated in part by automated systems and third-party AI models. The Service is a decision-support tool; it does not provide, and must not be relied upon as, legal, financial, investment, tax, or professional advice. You are solely responsible for any decision you make based on outputs of the Service.
We may add, change, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to notify you of material changes that adversely affect paid features.
Certain features require you to supply your own API keys or credentials for third-party AI model providers ("Provider Keys"). You are responsible for (a) obtaining and maintaining valid Provider Keys, (b) complying with the terms and usage policies of those third-party providers, and (c) all charges those providers assess against your Provider Keys. Provider Keys you supply are encrypted at rest and used only to route your requests. We are not responsible for the availability, accuracy, pricing, or conduct of any third-party model or provider, and your use of them is governed by their agreements, not these Terms.
Paid features are offered on a subscription basis (for example, a monthly plan) and, where applicable, usage-based or prepaid components. By purchasing a subscription you authorize us and our payment processor to charge the applicable fees, plus any taxes, to your payment method on a recurring basis until you cancel.
Unless stated otherwise at the point of sale, subscriptions renew automatically for successive periods at the then-current price. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. Fees are stated exclusive of taxes, which you are responsible for. We may change our prices prospectively; we will give reasonable advance notice of price increases affecting your renewal. Refunds are governed by our Refund Policy.
"Inputs" means the founder profiles, documents, links, prompts, and other content you submit to the Service. "Outputs" means the routes, analyses, scores, and other results the Service returns based on your Inputs.
As between you and us, you retain all rights in your Inputs, and, to the extent permitted by applicable law and any third-party model terms, you own the Outputs generated for you. You grant us a limited, non-exclusive license to host, process, and transmit your Inputs solely to operate and provide the Service to you, and to generate Outputs. We do not use your Inputs or Outputs to train our or any third party's models. See our Privacy Policy for how we handle data, including our practice of minimizing personal data and retaining primarily de-identified metadata.
You represent that you have the necessary rights to submit your Inputs and that your Inputs and their processing do not violate any law or third-party right.

We may investigate suspected violations and suspend or terminate access for conduct we reasonably believe violates these Terms or harms other users, us, or third parties.
The Service, including its software, design, text, and all related intellectual property, is owned by Dynamic Resonance or its licensors and is protected by law. Except for the rights expressly granted to you in these Terms, we reserve all rights. "Dynamic Resonance" and our logos are our marks and may not be used without our prior written permission. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
The Service may integrate with or link to third-party websites, tools, and services. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. OUTPUTS ARE GENERATED BY AUTOMATED AND AI SYSTEMS AND MAY CONTAIN ERRORS OR OMISSIONS; YOU ARE RESPONSIBLE FOR EVALUATING THEM BEFORE RELYING ON THEM. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNAMIC RESONANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless Dynamic Resonance and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Inputs, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to us, the Service, or others. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including Sections 5–11 and 13–14) will survive termination.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to any applicable mandatory consumer-protection laws, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
We may update these Terms from time to time. When we do, we will post the updated version with a new "Last updated" date and, where required, provide additional notice. Changes are effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture.
